1. Purpose and Scope
1.1 Purpose of the Subscription Terms
- These Subscription Terms establish the rights and obligations of the parties regarding the subscription to the membership program titled Global SAR Hub Community (hereinafter referred to as the "Membership"), offered by Global SAR Hub (hereinafter referred to as "GSH").
1.2 Definition of the Membership
- The Membership is an annual subscription granting its subscribers (hereinafter referred to as "Members") access to a series of exclusive benefits described in Article 3. The Membership aims to promote international synergy among Search and Rescue (SAR) actors, whether in the maritime, aeronautical, or terrestrial fields.
1.3 Nature of the Membership
- Membership subscription:
• Does not confer any legal or administrative rights in the management or governance of the legal entities Global SAR Hub Non-Profit Organization or Global SAR Hub Company.
• Does not constitute an equity interest or confer the status of member as defined in the statutes of the aforementioned entities.
• Does not grant any rights to participate in decision-making, voting, or influence over the strategic directions of the aforementioned entities.
1.4 Member Commitments
- By subscribing to the Membership, the Member:
• Explicitly and unreservedly accepts these Subscription Terms.
• Acknowledges that these terms constitute a legally binding agreement between themselves and GSH.
• Commits to complying with the obligations arising from these terms and the rules of conduct defined within the Global SAR Hub Community framework.
1.5 Contractual Nature of the Subscription Terms
- These Subscription Terms take precedence over any other prior document or communication regarding the Membership unless expressly stipulated otherwise in writing and accepted by GSH.
2. Registration and Eligibility
2.1 Conditions for Registration
- To subscribe to the Membership, the subscriber (hereinafter referred to as the "Applicant") must:
• Be at least eighteen (18) years old on the date of registration.
• Pay in full the applicable registration fees, as defined in Article 4.
• Reside in a country where the payment service used by Global SAR Hub (including Stripe) is accepted.
2.2 Registration Process
- The Applicant must provide accurate, complete, and up-to-date information during the registration process, including but not limited to:
• Identity: First name, last name, and represented entity (if applicable).
• Contact Information: Email address, phone number, and country of residence.
• Additional Details: Any other information requested by Global SAR Hub during the registration process.
The Applicant guarantees the accuracy of the information provided and commits to updating it in the event of any changes.
2.3 False Declarations or Failure to Update Information
- If erroneous, incomplete, or outdated information is provided, Global SAR Hub reserves the right to:
• Temporarily or permanently suspend access to the benefits associated with the Membership.
• Terminate the subscription without prior notice or reimbursement of fees already paid.
2.4 Newsletter Subscription
- By subscribing to the Membership, the Member agrees to be automatically enrolled in the Global SAR Hub newsletter, intended to:
• Provide updates on news, events, products, and services related to the Membership.
• Inform Members about new benefits and community developments.
The Member may unsubscribe from the newsletter at any time without impacting their subscription by clicking the unsubscribe link included in each email communication.
2.5 Validation of Registration
- Registration for the Membership is considered complete only after:
• Receipt by Global SAR Hub of the full payment of registration fees.
• The Applicant receives written confirmation (via email) from Global SAR Hub, indicating the effective activation of their subscription.
2.6 Right of Refusal
- Global SAR Hub reserves the right to refuse an application for legitimate and proportionate reasons, including but not limited to:
• Non-compliance with these Subscription Terms or the eligibility criteria outlined in Article 2.1.
• Previous problematic behavior that has harmed the integrity or interests of the Global SAR Hub Community.
• Reasonable evidence suggesting that the Applicant might misuse the services or act contrary to the objectives of the community.
In the event of a refusal, any registration fees paid will be fully refunded within fourteen (14) business days.
3. Membership Benefits
Membership in the Global SAR Hub Community offers members a range of exclusive benefits designed to foster collaboration and innovation within the international Search and Rescue (SAR) community. These benefits include:
3.1 List of Benefits
3.1.1 Participation in International Discussion Groups
- Members gain access to exclusive groups focused on key SAR topics, including:
• Maritime and Aeronautical SAR;
• Mass Rescue Operations;
• Stress Management in Crisis Situations;
• Emerging Technologies and Innovations in SAR.
These groups facilitate international dialogue, knowledge sharing, and collaboration among SAR professionals and enthusiasts worldwide.
3.1.2 Priority Access to Exclusive Webinars and Online Conferences
- Members enjoy priority access to specialized webinars and online conferences hosted by industry leaders. These events provide updates on the latest advancements, technologies, and best practices shaping the SAR landscape.
3.1.3 Access to a Global Networking Platform
- Membership includes access to an international platform that enables members to:
• Connect with a diverse community of SAR professionals;
• Develop meaningful professional relationships;
• Exchange ideas and experiences to enhance expertise and foster collaboration opportunities on a global scale.
3.1.4 Contribution to the Development of Innovative SAR Tools
- Members can actively participate in the innovation process by collaborating on the development of cutting-edge tools for the international SAR community.
• Contributions are acknowledged by name in the projects to which members contribute.
• This opportunity allows members to leave a lasting impact on the sector.
3.1.5 Discounts on Global SAR Hub Products and Services
- Members receive preferential pricing on tools, services, and products offered by Global SAR Hub, making their membership both advantageous and cost-effective.
3.1.6 Early Access to New Tools and Features
- Members gain exclusive early access to tools and resources developed by Global SAR Hub before they are publicly available. This advantage helps members stay ahead of innovations in the field.
3.1.7 Personalized Digital Membership Card and Certificate
- Each member receives a personalized e-membership card and a digital certificate of affiliation, symbolizing their commitment to the SAR community and providing professional recognition of their participation.
3.1.8 Referral Program with Rewards
- Members can benefit from the referral program as follows:
• Reward for Referrer: A free year of Membership is granted for each new member referred, provided that:
o The referrer and referee belong to the same or a higher category (as defined in Article 4).
o If a member from a higher category refers a member from a lower category, the reward does not apply (e.g., a private company does not receive a free year by referring a student).
• Benefit for Referee: A 10% discount on the first year of Membership is granted to the referee, regardless of their category.
3.2 Limitations and Availability of Benefits
- The benefits listed above are provided as a guide and may be modified or temporarily limited due to technical, organizational, or strategic constraints.
Global SAR Hub reserves the right to suspend, modify, or withdraw any benefit without prior notice, for valid reasons, including but not limited to:
• Technical maintenance or updates of tools;
• Internal reorganization;
• Strategic decisions aimed at improving the member experience.
3.3 Conditions for Using Benefits
- Benefits are strictly reserved for members in good standing with their subscription. Any abuse of benefits, including sharing them with non-members, may result in the immediate suspension or termination of the Membership without reimbursement.
4. Financial Terms
4.1 Membership Fees
- The fees applicable to the Global SAR Hub Community Membership are as follows:
• Students: USD 25 per year.
• Individuals: USD 50 per year.
• Non-Profit Organizations: USD 80 per year.
• Private Companies: USD 550 per year.
All amounts are expressed in United States Dollars (USD) and are exclusive of taxes. Applicable taxes, calculated based on the member’s jurisdiction, will be added to the total amount invoiced.
4.2 Payment Terms
- Full Payment: Membership fees must be paid in full at the time of registration or renewal, covering a period of twelve (12) consecutive months.
- Payment Method: Payments are processed exclusively through the secure Stripe platform.
- Member Responsibility: Members are responsible for providing accurate and up-to-date payment information. Any failure to process payment, for any reason, is the sole responsibility of the member.
4.3 Automatic Renewal
- Membership Renewal: Memberships are automatically renewed annually unless canceled in advance as outlined in Article 6.
- Prior Notification: The Global SAR Hub will send a notification to the member thirty (30) days before the automatic renewal date via email and/or WhatsApp. This notification will specify the renewal date and the applicable amount.
- Renewal Consent: If the membership is not canceled within the specified period, payment will be automatically processed on the renewal date using the payment details previously provided.
4.4 Payment Failure
4.4.1 Reminder and Regularization
- In the event of a payment failure on the renewal date, a single reminder will be sent to the member by email within twenty-four (24) hours of the failed transaction. The member will have seven (7) days to regularize the payment using the previously provided payment method or another method accepted by Global SAR Hub.
4.4.2 Suspension of Benefits
- If payment is not regularized within the specified period, all benefits associated with the Membership will be automatically suspended. This suspension includes access to discussion groups, webinars, discounts, and other related services. Suspension will remain in effect until payment is fully regularized or the membership term expires.
4.4.3 Retention of Personal Data
- In cases of non-payment, the member’s personal data will be retained for a minimum period of sixty (60) days following the payment failure. This retention ensures compliance with applicable legal, tax, or accounting obligations. During this period, only essential data, such as the member’s name, contact details, and billing history, will be retained. Non-essential data, including preferences or discussion group interactions, will be deleted as soon as possible.
4.4.4 Permanent Data Deletion
- At the end of the minimum retention period, or if no legal obligation mandates further retention, all remaining personal data will be permanently deleted in compliance with applicable data protection laws.
4.5 Taxes and Fiscal Obligations
4.5.1 Tax Calculation and Collection
- Applicable taxes (e.g., VAT, GST, or other local taxes) are automatically calculated and added to the total amount invoiced based on the member’s location at the time of the transaction. Tax collection is conducted via the Stripe platform in compliance with the tax laws of each applicable jurisdiction.
4.5.2 Responsibilities of Global SAR Hub
- Collecting applicable taxes for each transaction in accordance with local and international legal requirements.
- Declaring and remitting collected taxes to the appropriate tax authorities within the prescribed deadlines.
- Ensuring transparency by providing members with clear information about the collected tax amounts.
4.5.3 Responsibilities of Members

Members are not required to declare or remit taxes collected by Global SAR Hub. However:
- They remain responsible for any additional tax or customs obligations imposed by their local jurisdiction that are not included in the total amount billed by Global SAR Hub (e.g., taxes on foreign services).
- It is their responsibility to verify local tax requirements to ensure compliance.
4.5.4 Invoicing
- Each member will receive a detailed invoice for each transaction, indicating:
- The Membership amount including taxes;
- Applicable taxes collected;
- The total amount billed.
- This invoice will comply with the relevant local and international tax standards, ensuring complete transparency for the member.
4.6 Trial Period
4.6.1 Availability of Trial Period
- Global SAR Hub may, at its discretion, offer a free or discounted trial period to certain members or as part of specific promotional offers. The duration, conditions, and benefits of this trial period will be communicated to the member at the time of registration.
4.6.2 Automatic Conversion to Paid Membership
- At the end of the trial period, the Membership will automatically convert to a paid subscription for a twelve (12)-month term, unless the member cancels before the trial period ends. The applicable fee will correspond to the selected category as defined in Article 4.1.
4.6.3 Automatic Termination in Case of Non-Payment
- All Membership benefits and access will be automatically suspended.
- A reminder will be sent to the member via email within twenty-four (24) hours of the failed payment, providing a seven (7)-day period to regularize the situation.
- If payment is not resolved within this timeframe, access will be permanently terminated.
4.6.4 No Cumulative Trials
- A single member may not benefit from multiple trial periods unless expressly authorized by Global SAR Hub.
4.6.5 Limitations and Restrictions
- Global SAR Hub reserves the right to limit the benefits available during the trial period or exclude specific services. Any applicable restrictions will be communicated to the member at the beginning of the trial period.
4.6.6 Termination During Trial Period
- The member may terminate the trial period at any time without additional fees by sending written notice to contact@globalsarhub.com. In the event of termination, access to services will be immediately discontinued.
4.6.7 Exclusion of Right of Withdrawal
- For members in the European Union or jurisdictions granting a right of withdrawal, this right is waived if the member explicitly consents to immediate access to services or digital content during the trial period, in accordance with Article L.221-28 of the French Consumer Code.
5. Right of Withdrawal
In accordance with Article L.221-18 of the French Consumer Code and applicable provisions for distance contracts within the European Union, members residing in an EU member state have the right to withdraw from their Membership subscription within fourteen (14) days from the date of subscription. This right can be exercised without providing a reason or incurring any penalties. To exercise this right, the member must submit a clear and unambiguous written request to contact@globalsarhub.com, specifying their full name, email address, and subscription date. Upon receiving a valid withdrawal request, Global SAR Hub will refund the full amount paid by the member within a maximum of fourteen (14) days from the date of receipt of the request. The right of withdrawal does not apply to members residing outside the European Union unless a specific mandatory legal provision in their jurisdiction grants such a right. In the absence of local regulations mandating a right of withdrawal, no refund will be provided after the subscription or renewal of the Membership.
6. Refunds and Termination
6.1 No Refunds
- No refunds will be issued for any paid Membership period, regardless of the reason, including early termination by the member or suspension or termination of the Membership by Global SAR Hub under the terms of these Subscription Terms.

This no-refund policy also applies in the following situations:
- Full or partial non-use of the Membership benefits or services.
- Suspension or termination of access due to non-compliance with these Subscription Terms.
- Members will retain access to the Membership benefits until the end of their annual subscription period, corresponding to the anniversary date of their subscription or last renewal. Termination will take effect upon the expiration of this period, with no refund for any remaining time between the termination notification and the end of the subscription period.
- A refund may only be considered if required by applicable law, particularly in jurisdictions that grant specific consumer rights (e.g., under the right of withdrawal outlined in Article 5).
6.2 Refunds Related to the Right of Withdrawal
- As stated in Article 5, members residing in the European Union or other applicable jurisdictions have a fourteen (14)-day period to exercise their right of withdrawal. After this period, no refunds will be granted unless expressly required by applicable law.
6.3 Termination Procedure by the Member
- Members may terminate their Membership at any time by submitting written notice via email to contact@globalsarhub.com. The notice must include the necessary identification details, such as the member's full name, email address, and subscription date.
- Termination will not result in the immediate cessation of services. Members will retain access to all Membership benefits until the end of the current subscription period. Access will automatically cease at the expiration of this period. No refund will be provided for the remaining duration until the subscription expiration date.
6.4 Termination by Global SAR Hub
- Global SAR Hub reserves the right to terminate a Membership at any time under the following conditions:
- Violation of these Subscription Terms.
- Fraudulent or abusive use of the services, including unauthorized sharing of access or information with third parties.
- Conduct detrimental to the integrity or interests of the Global SAR Hub Community.
- Termination will be notified to the member in writing via the registered email address and may take effect immediately or at a later date, depending on the severity of the situation. In such cases, no refund will be issued for the remaining Membership period.
6.5 Expiration Due to Non-Renewal
- If the Membership is not renewed before the anniversary date, access will automatically cease at the end of the annual period. No additional notice will be required to confirm the expiration.
7. Sanctions and Exclusions
7.1 Misuse of Services
- Any misuse of services or behavior in violation of these Subscription Terms will result in the immediate and permanent exclusion of the member, with no entitlement to a refund for the remaining Membership period.

Misuse of services includes, but is not limited to:
- Unauthorized sharing of access, content, or information obtained through the Membership with non-members.
- Inappropriate or harmful behavior, including statements or actions that harm other members, damage the reputation of Global SAR Hub, or compromise the integrity of the community.
- Violations of specific rules established by Global SAR Hub, particularly those governing the use of discussion groups and webinars.
- The severity of misuse will be determined at the sole discretion of Global SAR Hub based on the facts and may result in immediate suspension or permanent termination of the Membership.
7.2 Sanctions Applicable to Corporate Members
- Corporate members are permitted to promote their activities or services within the community, provided such promotions are conducted respectfully and appropriately, without disrupting the experience of other members or the objectives of the community.

All promotional activities or communications by corporate members must comply with the following rules:
- Avoid disrupting constructive interactions among members.
- Prevent repeated or substantiated complaints from other members.
- Adhere to applicable laws and Global SAR Hub’s internal guidelines.

In case of a violation of these rules or substantiated complaints, Global SAR Hub, at its sole discretion, may:
- Temporarily suspend the Membership benefits of the corporate member.
- Permanently terminate the Membership of the corporate member, with no refund of fees already paid.
7.3 Definition and Management of Inappropriate Conduct

Inappropriate conduct includes any actions, communications, or statements that may, directly or indirectly:
- Harm one or more members of the community, including defamatory, insulting, or discriminatory remarks.
- Damage the reputation or image of Global SAR Hub, such as through public statements, social media posts, or other forms of communication.
- Contradict the core values of respect, integrity, and collaboration that govern the Global SAR Hub community.
- Any complaints regarding inappropriate conduct will be reviewed by Global SAR Hub, which reserves the right to seek clarification from the concerned member before making a decision. If misconduct is confirmed, immediate sanctions may be applied, including suspension or permanent termination of the Membership.
8. Rules of Conduct in Discussion Groups and Webinars
As part of the Global SAR Hub Community Membership, members participating in discussion groups or webinars are required to adhere to the following rules. These rules are designed to ensure a respectful, collaborative, and value-driven environment.
8.1 General Conduct
- Respect others: Maintain respectful and courteous behavior toward all participants. Any defamatory, insulting, discriminatory remarks, or statements that harm the moral or professional integrity of another member are strictly prohibited.
- Stay relevant: Post messages or participate only in topics pertinent to the purpose of the groups or webinars. Off-topic or disruptive messages will be removed.
- Avoid prohibited content: Refrain from posting content that is violent, discriminatory, pornographic, illegal, or offensive, as well as spam or unauthorized advertisements.
8.2 Specific Rules for Discussion Groups
- Participate constructively, avoiding conflicts or irrelevant debates.
- Ensure their contributions do not disrupt the flow of discussions.
- Comply with specific instructions set by group moderators or administrators.
8.3 Specific Rules for Webinars
- Follow the instructions of moderators or hosts, particularly concerning speaking requests.
- Use the chat feature only for questions or comments related to the webinar topic.
- Avoid interrupting presenters or disrupting the webinar with inappropriate remarks or interventions.
- Not record or distribute webinar content without explicit authorization from Global SAR Hub.
8.4 Moderation and Sanctions

Global SAR Hub appoints moderators to oversee discussion groups and webinars. These moderators are authorized to:
- Remove any content deemed inappropriate or non-compliant with these rules.
- Issue warnings to members engaging in inappropriate behavior.
- Temporarily or permanently suspend a member’s access to groups or webinars in the event of serious or repeated violations.
- Severe violations, such as harassment, disclosure of confidential content, or actions that significantly harm the community, may result in the immediate termination of Membership without refund.
9. Limitation of Liability
9.1 Service Interruptions or Unavailability
- Global SAR Hub shall not be held liable for temporary or permanent interruptions to the services offered, including access to discussion groups, webinars, or any other Membership benefits. These interruptions may result from maintenance work, technical issues, or any other unforeseen event.
9.2 Abuse or Misuse of Services
- Consequences arising from abusive, inappropriate, or non-compliant use of the services are the sole responsibility of the concerned member. Global SAR Hub disclaims all liability in this regard.
9.3 No Explicit or Implied Warranties
- All services are provided "as is" and "as available." No explicit or implied warranties are made regarding the quality, reliability, accuracy, or suitability of the services for any particular purpose. Global SAR Hub does not guarantee the absence of defects, errors, or viruses, nor the continuous or uninterrupted availability of the services.
9.4 Indirect or Consequential Losses

Global SAR Hub shall not be held liable for indirect, incidental, or consequential losses or damages, including but not limited to:
- Loss of profits;
- Loss of business opportunities;
- Loss of data;
- Damages resulting from service interruptions or unavailability.
9.5 Use of Provided Information or Content
- The information, tools, and content made available under the Membership are provided for informational or collaborative purposes. Global SAR Hub shall not be held liable for any decisions, actions, or omissions made by a member based on this information or content.
9.6 Force Majeure
- Global SAR Hub shall not be held liable for its inability to provide all or part of the services due to force majeure events, such as natural disasters, armed conflicts, cyberattacks, network outages, or administrative orders.
9.7 Exclusion of Liability for Third Parties
- Global SAR Hub disclaims any liability for acts, omissions, or content provided by third parties, including members themselves or third-party platforms used to deliver the services (e.g., messaging tools or webinar platforms).
9.8 Monetary Limitation of Liability
- Under all circumstances, Global SAR Hub's total liability to any member is strictly limited to the amount paid by that member for their Membership during the current subscription period.
9.9 Local Law Reservations
- The limitations and exclusions of liability outlined in this article shall apply to the extent permitted by applicable law. In jurisdictions where certain limitations or exclusions are not permitted, Global SAR Hub's liability will be limited to the maximum extent allowed by local law.
10. Intellectual Property and Member Contributions
10.1 Exclusive Intellectual Property of Global SAR Hub
- All contributions, ideas, suggestions, or content provided by members under the Membership or within collaborative projects shall become the exclusive property of Global SAR Hub. This ownership includes, but is not limited to, the right to develop, modify, exploit, distribute, or monetize these contributions in any form, present or future.
10.2 No Compensation or Revenue Sharing
- No remuneration, financial compensation, or revenue sharing derived from the tools or services created using member contributions shall be owed, regardless of the commercial or non-commercial use of such contributions.
10.3 Member Recognition
- Members who contribute to a project will be credited by name in associated project credits or documentation, unless they explicitly request otherwise. Such recognition, however, does not confer any financial or decision-making rights.
10.4 Free and Commercial Use of Tools
- Most tools developed with member contributions will be made freely available to the international SAR community. However, Global SAR Hub reserves the right to monetize certain tools or associated services, where necessary, to support its operations and ensure their sustainability.
11. Personal Data
11.1 Collection and Use of Data

Personal data collected in connection with Membership enrollment, including but not limited to names, email addresses, phone numbers, and other required information, is used exclusively for the following purposes:
- Managing memberships;
- Communicating about benefits, events, and services related to the Membership;
- Complying with applicable legal or regulatory obligations.
- This data will not be sold or shared with third parties for commercial purposes without the explicit consent of members.
11.2 Member Rights

Members have rights regarding their personal data, as defined by the regulations applicable in their country of residence. These rights include:
- The right to access personal data held by Global SAR Hub;
- The right to rectify inaccurate or incomplete data;
- The right to request the deletion of personal data, subject to legal or regulatory obligations;
- The right to object to or withdraw consent for data processing.
- Members may exercise these rights by contacting Global SAR Hub at the following email address: contact@globalsarhub.com. All requests will be processed within a reasonable timeframe, in accordance with applicable laws.
11.3 Data Retention
- Personal data of members will be retained for the duration of the Membership. Upon termination of the Membership, data will be deleted within a maximum of two (2) years unless prolonged retention is required by local legislation or for legitimate purposes, such as tax or accounting obligations.
11.4 Data Security
- Global SAR Hub implements appropriate technical and organizational measures to ensure the confidentiality and integrity of personal data. These measures include encryption technologies, secure protocols for information exchanges, and strict access controls.
11.5 International Data Transfers
- As part of its operations, Global SAR Hub may transfer members' personal data to jurisdictions outside their country of residence. Such transfers will comply with international data protection standards, and appropriate safeguards will be implemented to ensure an adequate level of protection.
11.6 Modifications and Updates
- Global SAR Hub reserves the right to modify this personal data protection policy to ensure compliance with legislative or regulatory changes. Any substantial modifications will be communicated to members prior to implementation.
12. Modification of Terms
12.1 Right to Amend
- Global SAR Hub reserves the right to amend these Subscription Terms at any time to adapt to legal, technical, or commercial developments or to improve the services provided.
12.2 Notification of Changes

Significant changes, particularly those that materially impact members’ rights, obligations, or benefits, will be communicated in advance via email at least seven (7) days prior to their effective date. This notification will include:
- The nature of the changes made;
- Their effective date;
- Any potential implications for the member.
- For minor changes or those that do not impact members' rights or obligations, a simple email notification may be sent without a specific timeframe.
12.3 Acceptance of Changes
- By continuing to use the services after the effective date of the revised Terms, the member is deemed to have accepted the changes. If the member does not agree to the new Terms, they may terminate their Membership in accordance with Article 6 of these Subscription Terms. No refunds will be issued for the remaining Membership period unless expressly required by applicable law.
13. Governing Law and Disputes
13.1 Governing Law
- These Subscription Terms are governed by and construed in accordance with French law. This provision applies regardless of the member's location, subject to mandatory consumer protection laws applicable in the member's jurisdiction.
13.2 Amicable Dispute Resolution

In the event of a dispute relating to the performance, interpretation, or validity of these Subscription Terms, the parties agree to attempt to resolve the dispute amicably before considering legal action. For this purpose:
- A written claim must be submitted to Global SAR Hub by email at contact@globalsarhub.com or by postal mail to the address provided on the website;
- If the amicable resolution attempt fails, the parties may resort to an independent, accredited mediator, either mutually agreed upon or designated in accordance with applicable regulations.
13.3 Jurisdiction
- In the absence of an amicable resolution, any dispute relating to these Subscription Terms shall fall under the exclusive jurisdiction of the French courts, specifically the Paris Commercial Court, unless otherwise required by the laws applicable in the member's jurisdiction.
14. Miscellaneous Provisions
14.1 Partial Invalidity
- If one or more provisions of these Subscription Terms are deemed invalid, illegal, or unenforceable by a competent court, this invalidity shall not affect the validity of the remaining provisions, which shall remain fully applicable and in effect.
14.2 Force Majeure
- The parties shall not be held liable for the total or partial non-performance of their obligations under these Terms if such non-performance results from an event of force majeure, as defined by applicable law or these Terms.

Force majeure events include, but are not limited to:
- Natural disasters (storms, floods, earthquakes);
- Generalized strikes or social unrest;
- Electrical outages or communication network failures;
- Cyberattacks or security incidents affecting IT systems;
- Pandemics, wars, armed conflicts, or unforeseen government restrictions.
14.3 Effects of Force Majeure
- In the event of force majeure, the affected obligations shall be suspended for the duration of the event. The party invoking force majeure must notify the other party as soon as possible, specifying the nature of the event and its impact on the fulfillment of obligations.
- If the force majeure event extends beyond sixty (60) consecutive days, either party may terminate the contract without compensation by providing written notice to the other party.
14.4 Entire Agreement
- These Subscription Terms constitute the entire agreement between the parties regarding the Membership and supersede all prior agreements or arrangements, whether written or oral, relating to the same subject matter.
14.5 Non-Waiver
- The failure of either party to exercise any right or provision of these Terms shall not be construed as a waiver of such right or provision.
